Private Registration Listing Terms & Conditions

These Terms & Conditions (“Agreement”) govern your relationship with Utopia Plates (“we”, “us”, or “our”) when you submit a private registration mark (“registration”) to be listed for sale on our website, https://www.utopiaplates.co.uk (“the Site”).

By submitting your registration to be listed, you (“the Seller”) agree to be bound by the terms outlined below.

1. Listing and Commission Structure

• We will list your private registration on our website free of charge as a broker.
• The registration will be advertised at a price consisting of:
• Your desired return amount (the amount you wish to receive upon sale),
• Our commission (typically added on top),
• The £80 DVLA Transfer Fee.
• You will not be charged any fees for listing your private registration for sale.

2. Marketing and Promotion

• We may, at our sole discretion, choose to advertise your registration across social media platforms (e.g., Facebook, Instagram, TikTok) at no cost to you.
• You grant us permission to use images and descriptions of your registration for advertising purposes.

3. Third-Party Listings and Syndication

• If your registration appears on our website and you did not list it directly with us, it may have been supplied to us via a third-party dealer under a syndication or partnership arrangement.
• This is a standard industry practice intended to maximise exposure and sales potential.
• If you do not wish for your registration to be displayed on our platform, please contact the original dealer you listed it with and request that they remove it from their shared listings.
• There are no disadvantages to having your plate listed with us in addition to other dealers—it simply increases your chances of a successful sale.

4. Our Role and Commercial Interests

• We operate primarily as a commercial enterprise and aim to generate profit through brokering sales of private registrations.
• While we act as an intermediary between buyer and seller, we reserve the right to prioritise our commercial interests in negotiations or decisions regarding sales strategy.
• Notwithstanding the above, we will act honestly, lawfully, and in good faith in all transactions.

5. Contact and Sale Facilitation

• If we receive an enquiry or secure a buyer for your registration, we will contact you to facilitate the transfer and payment process.
• If we are unable to reach you within 14 calendar days of initial contact, we reserve the right to cancel the sale and the opportunity will be forfeited.

6. Ongoing Seller Verification

• You agree to be contacted periodically so we can verify that you still:
• Have legal ownership or rights to sell the registration,
• Are happy to proceed with the sale at the agreed price.
• Failure to respond may result in your listing being removed.

7. Purchase Offers from Utopia Plates

• In some cases, we may wish to purchase your registration for our own inventory.
• Should this be the case, we will make a fair and timely offer, which you are free to accept or decline.

8. Fraud Prevention and Compliance

• We take fraud prevention seriously and verify the authenticity and status of every registration prior to sale.
• You agree to provide documentation or evidence of ownership when requested.
• Any suspected fraudulent activity will be reported to the relevant authorities, including the Police and Action Fraud, and may result in the permanent suspension of your listing.

9. Limitation of Liability

• We make no guarantees regarding the speed or likelihood of sale of your registration.
• We shall not be held liable for any losses, direct or indirect, arising from listing your registration on our platform.
• Our liability in all circumstances is limited to the amount of commission received by us in connection with your registration (if any).

10. Amendments and Termination

• We reserve the right to update these Terms & Conditions at any time. Significant changes will be communicated to you via email or our website.
• You may request removal of your registration from our website at any time by contacting us.
• We reserve the right to remove listings at our discretion, without notice, particularly if ownership cannot be verified or the registration becomes unavailable.

11. Governing Law

• These Terms & Conditions shall be governed by and construed in accordance with the laws of England and Wales.
• Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
