Affiliate Program Operating Agreement

1. Introduction
Welcome to the Utopia Plates Affiliate Programme. By joining our programme, you agree to abide by these Terms and Conditions. Please read them carefully.

2. Affiliate Obligations
2.1 As an affiliate, you are considered an independent contractor and not an employee of Utopia Plates. You agree that your activities as an affiliate are completely separate from the company.
2.2 Affiliates must always market our products as fully road legal. We do not manufacture or endorse the use of illegal number plates or 'show plates'.
2.3 The affiliate must never make derogatory or negative comments about the DVLA or represent the DVLA in a bad light.
2.4 While promoting finance options such as Clearpay, Klarna, or PayPal Pay In 3, affiliates must not recommend or encourage these options. They should state that these options are available without persuasion and should contact us for guidance on appropriate wording.

3. Commission and Payment
3.1 Commissions are paid via bank transfer, store credit in the form of a gift card, or PayPal transfer.
3.2 Affiliates must accrue a minimum of £15 in commission before payments are processed.
3.3 Any orders that are cancelled and refunded will result in the corresponding commission being cancelled.
3.4 We reserve the right to reject commission payments at any time for any reason.

4. Marketing and Promotions
4.1 Affiliates must ensure that all marketing materials accurately represent the products and do not mislead customers.
4.2 Affiliates must not encourage or depict the misspacing of registration numbers in any promotional content.
4.3 Marketing materials must not suggest that customers purchase a registration merely to use financing options.
4.4 Affiliates are prohibited from marketing or representing any competing number plate or private registration dealers.

5. Intellectual Property
5.1 All promotional materials provided by Utopia Plates remain the property of Utopia Plates and must be used only in the manner prescribed by the programme.
5.2 Affiliates agree not to alter or misuse the branding, logos, or any other intellectual property of Utopia Plates.

6. Termination and Suspension
6.1 Utopia Plates reserves the right to suspend or terminate an affiliate's participation in the programme at any time for just cause, including but not limited to breaches of these Terms and Conditions.
6.2 Affiliates can terminate their participation in the programme at any time by notifying Utopia Plates in writing.

7. Representation and Professional Conduct
7.1 Affiliates must always present Utopia Plates in a professional manner and in a good light.
7.2 It is the affiliate’s responsibility to ensure all statements, claims and actions made while promoting Utopia Plates are truthful and legally compliant.

8. Changes to Terms
8.1 Utopia Plates reserves the right to modify these Terms and Conditions at any time. Affiliates will be notified of any changes and must comply with the new terms as a condition of continuing participation in the programme.

9. Indemnification
Affiliates agree to indemnify and hold harmless Utopia Plates from any claims, damages, lawsuits, and expenses arising from their actions during the affiliate programme.

10. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which Utopia Plates operates, without regard to its conflict of law principles.
